1. Who you're contracting with
These Terms & Conditions ("Terms") are a binding agreement between you and Flowmittal LLC, a Minnesota limited liability company ("Flowmittal", "we", "us"). They govern your access to and use of the Flowmittal platform, websites, and related services (the "Service").
2. Acceptance
By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. You represent that you are at least 18 years old and, if using the Service on behalf of an organization, that you have authority to bind that organization to these Terms.
3. The Service
Flowmittal provides a cloud-based platform for general contractors, architects, engineers, and owners to manage construction submittals, requests for information (RFIs), and related project documents.
4. Accounts
You must provide accurate information when registering and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
5. Acceptable use
You agree not to misuse the Service. You will not:
- use the Service for any unlawful, fraudulent, or deceptive purpose;
- send spam, malware, or other harmful content;
- infringe any intellectual property, privacy, or other rights of others;
- probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures;
- scrape, crawl, or otherwise extract data from the Service except as permitted; or
- reverse engineer, decompile, or attempt to derive source code from the Service.
6. Your content
You retain ownership of any content you submit to the Service ("Customer Content"). You grant Flowmittal a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content solely to provide and improve the Service. You are responsible for the legality of Customer Content and for ensuring you have all necessary rights to submit it.
7. Intellectual property
Flowmittal and its licensors own all right, title, and interest in and to the Service, including all software, documentation, designs, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or project term. No other rights are granted by implication.
8. Payment, billing, and reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Our own refund policy is set out in our Refund Policy.
9. Service availability
We work hard to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. We may perform maintenance, modify features, or discontinue portions of the Service at our discretion.
10. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, pose a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time. On termination, your right to access the Service ends and we may delete your Customer Content after a reasonable export window.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, Flowmittal's aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim. In no event will Flowmittal be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud, death, or personal injury caused by negligence).
13. Indemnification
You will defend, indemnify, and hold Flowmittal harmless from any claims, damages, or expenses arising out of your Customer Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
14. Governing law and venue
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. The state and federal courts located in Hennepin County, Minnesota will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
15. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16. Force majeure
Neither party will be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
